Terms and Conditions

These terms and conditions apply when using Spring, the Spring website, the Spring Pod and Spring post. By using Spring you agree to be bound to these terms and conditions, so please read them carefully. We may vary these Terms from time to time and you should check them regularly for changes.

These Terms incorporate the Privacy Policy. When you use a Spring Pod or Spring website, we may gather information about you. We explain how we use that information within these terms and conditions.

Definitions

“Device(s)/Tech/item(s)”

includes [but is not limited to] mobile phone, tablet device, cameras, laptops, games consoles, TV media players and other consumer electronics that you wish to sell to Spring. This is selected devices only. Items which we accept can be found using the search bar on the website or at the Spring Pod.

“Trade in service”

means the service Spring provides. Spring is a trade in service, which purchases unwanted tech from their owners. This includes items deposited at the Spring Pods or sent in to us through Spring post.

“We/Us/Our”

means Recyclabox Ltd trading as Spring.

“You/Your”

means you, the person using the Spring website and depositing items into the Spring Pod.

“Pod or Spring Pod”

means the physical Spring machine

“Spring Website”

Means the URL www.spring.co.uk and other websites derived from this website.

“Spring Post”

Means correctly using our reusable packaging to send an item to trade in with us.

1. About us

The trade in service is provided by Recyclabox Ltd, trading as Spring, a company registered in England: company number 7594255; registered office: Second Floor, Unit E, Zetland House, 5-25 Scrutton Street, London, EC2A 4HJ; VAT number: 110 7866 27. We use the trade names “Spring” and “spring.co.uk”.

2. About you

When trading in an item you must be:

  • a resident in Great Britain or Northern Ireland; and
  • accessing our site from that country; and
  • legally capable of entering into a binding contract; and
  • the legal owner of the device; and
  • at least 18 years old; or
  • If you are under 18 years of age, you have obtained your parent's or guardian's consent to sell your device to us.

All users must use their own identity at all times and ensure that all information provided is accurate and up to date.

You must not under any circumstances, deposit an item you do not own, even if owned by a family or household member. Selling a mobile phone or device which you do not own may amount to a criminal offence.

We may refuse to trade items with any person.

3. How the contract is formed

The agreement between us is formed when you deposit an item in the Spring pod or send an item to us using Spring Post. Any variation to these Terms must be confirmed in writing by us. You may sell any number of items to us. Each item is a separate contract. If you do not agree to our Terms, we are unable to progress your sale.

4. When we would refuse a sale

We may refuse to process a sale if we think it is reasonable to do so. This may include (but is not limited to) where:

  • you fail to meet any criteria for eligibility; or
  • you fail to submit all necessary and relevant details for us to complete the sales process; or
  • you fail to deposit your item; or
  • we identify a valuation error on the website; or
  • your mobile item is damaged or does not comply with the Terms; or
  • it is an imitation, copy or otherwise a non-genuine item.

This list is not exhaustive.

Items not listed on our website or the Spring Pod will be automatically recycled where possible. Such items cannot be returned. Please ensure you are happy to deposit such items to us for recycling only. You will not receive any payment for these items.

We do not accept accessories including device boxes, battery chargers, SIMs and cases and they will not be returned.

5. Valuations

Item valuations at the Spring Pod and Website are indicative only and we are not obliged to pay the initially quoted value if when we receive your item, we determine that it has a lower value or if it fails to meet these Terms.

The criteria used to value items are based on numerous factors including changes in market value. We may change the way in which we value items at any time and without notice. If you check the value of your item on any given day but do not deposit or post the item, you may be given a different value for the same item at a later time.

Any special offers on item values are subject to particular terms which we may impose and may be varied or withdrawn at any time without notice.

Values are shown and payments are made in pounds sterling. All valuations include VAT (or other applicable tax) at the prevailing rate.

Each item is processed separately even if traded in at the same time. We may send payment for each item separately.

6. Depositing items in a Spring Pod

We will not be liable if the item is subject to loss or damage before it is collected by us. You deposit your item at your own risk.

7. Posting items with Spring Post

Our Spring Post service lets you drop off your Items at any Royal Mail Post Office, for free. You must pack your items correctly following our packaging instructions, use the correct postage labels and keep your proof of postage. If this is not done we will not be liable if the item is subject to loss or damage before receipt at our warehouse.

As we are not the legal owner of the goods at the time of you sending the device(s) to us, our ability to make claims on your behalf maybe impacted as a result, but will assist you (in the rare cases where this is required) where we are able.

Our packaging and postage labels may only be used for Items that you are selling to us. You may not use these for any other items or purpose. If you do use or attempt to use any of the packaging and postage labels for items other than those which you are selling to us we reserve the right to charge you a reasonable administration fee to reflect the costs incurred by us in providing you with that service.

We and our carriers will not carry, and you agree not to send or request that we carry any Restricted Items, a list of which can be found on theRoyal Mailwebsite. Restricted items that should not be sent include but are not limited to, damaged, swollen or recalled batteries.

8. Verification and checks

Each item is tested for compliance with our Terms during the verification process. To do this any unopened items will be opened.

These checks include (but are not limited to) checks for cosmetic and functional damage, checks to determine if the item is an imitation, copy or otherwise a non-genuine item. We also check that the item is not blacklisted (see Section 13 below).

We may stipulate additional checks as we reasonably determine.

Verification and checks are carried out prior to and are a condition for payment.

9. Wrong items

As items can look similar, customers can sometimes incorrectly identify them. If we find that the item you sell is not as stated, we will email a value for the actual item. If you do not respond within 14 days, starting on the day on which we email the revised value, we will automatically process your sale after that time, using the new price.

10. Damaged items

Where possible, we offer value for a damaged item but shall not be obliged to purchase any damaged item.

If we determine your item is damaged, then we will value the item to take account of the damage and send a revised value by email. In some cases, values will be zero if items are beyond economical repair. If you do not respond within 14 days, starting on the day on which we email the revised value, we will automatically process your sale after that time, using the new price.

11. SIM cards and data

The sale of your device will not under any circumstance, include the sale of a SIM card or other proprietary information.

It is a condition of any sale of a device that before sending it, you remove and retain SIM cards AND memory cards (or other media) AND all other personal details and data including without limit, all names, mobile phone/device numbers, SMS messages, photos, games, songs, video and all other data from your device. We will not accept liability for any loss, damage or costs which you incur if the SIM card, memory card or other media are sent with the handset or if personal data remains on the device. We will not under any circumstances be able to return them to you and shall have no responsibility in respect of them.

If you send personal data to us in error, (other than information we hold about you as a customer) we shall not be deemed to be holding, processing or otherwise using the data on your behalf in any way.

You are responsible for cancelling any airtime contract linked to each device. We are not responsible for any call costs arising before, or after, receipt of your device.

12. ‘Activation Locked’, iCloud locked, Pin locked, Swipe locked, Google locked, etc. devices

If we receive a device with the ‘Activation Lock’ or any other lock still activated and you do not resolve this within 14 days, starting on the day on which we email you about this, we will revise the price to zero.

You can choose to accept the revised value or decline it in your Spring account. If you decline within 14 days of our email, we will return the device, the sale will not progress and our agreement will terminate. If we do not hear from you within 14 days of our email, we will automatically process your sale after that time, using the new price.

13. Lost, stolen, barred/blocked, blacklisted or red flagged items

We will check the status of all devices received against the National Mobi10 database (using the device’s unique IMEI number).

If your item is found to be blacklisted (this will happen if the device has been registered as lost, stolen or barred/blocked by the phone provider) you will receive an email from us explaining this. You will need to contact Mobi10 or your phone provider in order to resolve this.

If your device is found to be blacklisted by Mobi10, it must be quarantined for 28 days whilst its status is reviewed.The purpose of the quarantine period is to allow the rightful owner the opportunity to have the blacklisting removed in order that the device can be processed appropriately.

If, during the quarantine period the blacklist is removed, your device will be processed and paid for as normal.

However, if after the quarantine period has expired, the blacklist has not been removed then we are required by law to dispose of it or give it to the authorities and you will not receive any payment. In this instance, the personal data that we have collected during the transaction will be passed to the legal authorities.

UK legislation states that we cannot under any circumstances return the device unless the blacklisting has been removed.

If you have received payment from us for a mobile phone or device which we subsequently become aware of an issue relating to ownership, you agree to immediately reimburse us in full, within 3 days following a written request by us. We shall be entitled to set-off any sums properly due and owing to us under any contract made between you and us incorporating these terms and conditions against any sums owed by us to you under the same or any other contract between us. We will inform you in writing of any set-off carried out.

14. Payment

Item quotes at the Spring Pod and Website are indicative only and we are not obliged to pay the initially quoted value if when we receive your item, we determine that it has a lower value or it fails to meet these Terms.

Under no circumstances will payment be made before we receive your item. We aim to issue payment within 72 hours of receiving your item subject to the rest of these Terms. Timescales are indicative only and we do not guarantee to meet them.

Payment is made by bank transfer. Payments are made using the details which you provide. You must ensure that you provide all correct, accurate details, including without limit, payment and account details. We will not be liable if you fail to receive a payment or suffer a loss (including if a payment is sent to an incorrect account) as a result of your failure to input all payment and other details correctly. You are not able to change the payment destination once the transaction has been completed. Payments are non-transferable.

We are advised by the banks that customers should allow 3-5 working days to receive payment. Payment processing depends on third parties, which we do not control. We will not be liable for delay in your receipt of payment as a result of third party action or inaction or once we have issued payment.

Items will remain at your risk until we have issued payment for the item. Ownership of the item will pass to us when we issue payment to you.

Nothing shall oblige us to complete any transaction with you, make a payment or fulfil our obligation to you in accordance with these Terms if we become insolvent, enter into an arrangement with administrators or if anything similar occurs, in which case our agreement with you will end immediately.

15. Cooling off rights

In some cases, the law gives a right to cancel an agreement, within seven working days, this is a “cooling off period”.

Once you’ve deposited at the Spring Pod or posted your item, you have seven working days following that date to cancel, unless you have already approved the final value. By approving the value on the Spring website or at a Spring Pod, you agree that this will affect cancellation rights and that your cooling off rights will no longer apply and we will not be able to return your item.

To exercise your cooling off rights, please tell us in writing (including email to [email protected]) that you want to do so. In those circumstances, you will not be entitled to any payment from us whatsoever.

16. Returning items

If we return your item, we use Royal Mail delivery at our cost. If Royal Mail cannot deliver the item, we will ask them to return it to us. Once we receive confirmation that the address is correct we will resend the item. If an item is returned to us for a second time or if we have emailed you and we do not receive a response within 14 days, we will treat the item as our property, retain it and process the sale and will send you payment at the current item value.

17. Our liability and risk

Nothing in these Terms or elsewhere excludes or limits our liability for death or personal injury caused by our negligence or any liability for fraudulent misrepresentation, fraud or liability which we are responsible for in relation to consumer protection rights or for any other matters which it would be illegal to exclude.

Your statutory rights are not affected.

To the extent that we are liable to you in respect of breach of contract, for negligence or for any other legal liability in relation to our agreement with you or otherwise, our total liability to you will be limited to three times the value of the item which is the subject of the liability, (as determined by us in accordance with our usual valuation procedures) and any losses which are foreseeable as a direct consequence of us breaking our agreement with you.

We cannot be responsible for any errors you make in entering any details during the online process.

18. General

We will not be in any way responsible to you for a failure to purchase your device or for failure to comply with our obligations under these Terms or for any costs or liabilities which you incur as a result of any circumstances beyond our reasonable control including but not limited to act of God, flood, fire, trade dispute, lack of third party materials or services or terrorism.

The agreement between us is binding. You may not transfer or assign your rights or obligations to another person without our express agreement. We may transfer or assign our rights and obligations under the agreement or appoint third parties to assist us to perform our obligations provided that this will not reduce our obligations to you.

If any of these Terms is found to be void by a competent authority, all others will continue to apply.

From time to time, new industry standards, guidelines and rules may be released. We reserve the right, at any time and without notice, to change our business processes, procedures and the Terms to adhere to such standards, guidelines and rules. Any change takes effect immediately after posting on the website or the Pod interface and will be deemed to be accepted by any person using the website or Pod. Where you have already placed a sales order, which we have accepted, the agreement between us is subject to those Terms in place at the time.

If either we or you do not at any time act on any rights which we have under these Terms, then it will not affect the rights of either of us to enforce any rights at a later stage. In addition, if either of us chooses not to rely on a right which we have, it will not affect any of the other rights which either of us has.

These Terms and the agreement between us are subject to English law and we each agree that any dispute arising under or connected to it will be decided by the English courts.

You may be viewing the website in a country in which we do not operate and trade and we cannot be responsible for non-compliance with any local advertising or other laws in relation to this website or its contents.

These Terms, Privacy Policy and Terms and Conditions of Website Use and Spring use form the entire agreement and understanding between us in respect of their subject matter and will supersede and replace any prior agreements, understandings or arrangements, written or verbal.

Any notice you send to us will be deemed delivered as follows, depending on how you send it: on the day on which it is left if you deliver by hand; or on the day on which it is received by us if posted; or on the day on which it is sent correctly by email.

A person who is not party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any Term which means that only we and you have rights under them. This does not affect any right or remedy of any person which exists or is available otherwise than under that Act.

Applicable laws require that some information and communications be in writing. When using this website or the Spring Pod, you accept that communications will be mainly electronic. We will contact you by email or by providing you with information by posting notices on our website. For contract purposes, you agree to this electronic means of communication and acknowledge that all contracts, notices, information and other communications that we provide electronically, comply with any requirement that communications be in writing. This does not affect your statutory rights. Please check emails on a regular basis for updates on the sale of your item. We do not accept responsibility for any emails which are not received successfully, where the email address is incorrectly spelt or that are redirected or deleted by spam filters.

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
